Terms of Service

By creating an account or using Memnox in any way, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the service.

We may update these terms from time to time. If we make material changes, we will give you at least 14 days' notice by email or in-app banner. Continued use after the effective date constitutes acceptance.

Memnox is an AI-powered project intelligence platform that ingests data from connected tools (GitHub, Slack, Google Workspace, Zoom) and surfaces insights through a conversational interface and automated Slack digests.

We provide the service on a subscription basis. Features available to you depend on the plan you subscribe to. We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

You must be at least 16 years old to use Memnox. By using the service you represent that you meet this requirement.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at security@memnox.app if you suspect unauthorised access.

One account per person. You may not share login credentials across multiple people. Team access is managed through workspace member invitations.

Paid plans are billed monthly or annually in advance through Stripe. Prices are stated in USD. By subscribing you authorise Stripe to charge your payment method on a recurring basis until you cancel.

Cancellation: You may cancel at any time from the billing portal. Cancellation takes effect at the end of the current billing period. We do not issue pro-rated refunds for unused time.

Upgrades: When you upgrade mid-cycle, you are charged the pro-rated difference for the remainder of the billing period.

Overage: If your usage exceeds your plan's token limits, overage charges apply at the rates listed on the pricing page. Overage is billed at the end of each calendar month.

Failed payments: If a payment fails, we will retry it three times over seven days. If payment cannot be collected, your workspace will be downgraded to the Free plan.

You agree not to use Memnox to:

• Violate any applicable law or regulation
• Transmit spam, malware, or other harmful content
• Attempt to gain unauthorised access to any system or data
• Reverse engineer, decompile, or disassemble any part of the service
• Resell or sublicense access to the service without our written permission
• Use the service to build a competing product

We reserve the right to suspend or terminate accounts that violate these restrictions.

You retain ownership of all content you connect to or store in Memnox (code, messages, documents, etc.). You grant us a limited, non-exclusive licence to process and store that content solely to provide the service to you.

We do not claim ownership of your data, and we will not use your project content to train AI models. See our Privacy Policy for details on how we handle your data.

You are responsible for ensuring that the data you connect to Memnox does not violate any third-party rights or applicable laws.

Memnox and all related logos, software, and documentation are the exclusive property of Memnox. Nothing in these terms transfers any intellectual property rights to you.

You may not use our name, logo, or trademarks without prior written permission.

The service integrates with third-party platforms (GitHub, Slack, Google, Zoom, Stripe). Your use of those platforms is governed by their own terms of service. We are not responsible for the availability, accuracy, or conduct of third-party services.

If a third-party platform revokes or restricts our API access, certain features of Memnox may be unavailable. We will notify you of significant disruptions but cannot guarantee uninterrupted access to integrations.

The service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that:

• The service will be uninterrupted or error-free
• AI-generated responses will be accurate, complete, or fit for any particular purpose
• The service will meet your specific requirements

Use the AI responses as supplementary information only. Do not rely on them as the sole basis for important business, legal, or technical decisions.

To the maximum extent permitted by law, Memnox and its affiliates, directors, employees, and licensors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service.

Our total aggregate liability for any claim arising out of or relating to these terms or the service will not exceed the amount you paid to us in the twelve months preceding the claim.

You may delete your account at any time from the account settings. We may suspend or terminate your access immediately if you violate these terms, engage in fraudulent activity, or for any other reason with reasonable notice.

On termination, your right to use the service ceases. We will delete your data in accordance with our Privacy Policy. Provisions that by their nature should survive termination (including sections on intellectual property, disclaimers, and limitation of liability) will survive.

These terms are governed by and construed in accordance with the laws of Rwanda, without regard to its conflict of law provisions. Any dispute that cannot be resolved informally will be submitted to the exclusive jurisdiction of the courts of Kigali, Rwanda.
